Ringmetriks Terms of Service

These Terms of Service ("Terms") constitute a binding agreement between Ringmetriks ("Ringmetriks," "we," "us," or "our") and the entity or individual ("Customer," "you," or "your") that registers for or uses Ringmetriks' call tracking, analytics, and marketing attribution platform (the "Service").

BY CREATING AN ACCOUNT, CLICKING "I AGREE," OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.


1. The Service

Ringmetriks provides call tracking numbers, dynamic number insertion, call recording, call transcription, form tracking, chat tracking, analytics dashboards, and related marketing attribution tools (the "Service"). Features available depend on the subscription plan selected.


2. Eligibility and Account Registration

  • You must be at least 18 years old and able to form a binding contract to use the Service.
  • You agree to provide accurate, current, and complete registration information and to keep it updated.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.
  • You must notify us promptly of any unauthorized use of your account.

3. Subscription Plans, Fees, and Payment

  • The Service is offered on a subscription basis with pricing tiers as described on our pricing page or in your order form.
  • Fees are billed in advance on a monthly or annual basis (as selected) and are non-refundable except as required by law or expressly stated otherwise.
  • Usage-based charges (e.g., additional tracking numbers, minutes, or transcription volume) will be billed in arrears based on actual usage.
  • We may change our pricing with at least 30 days' notice; continued use after the effective date constitutes acceptance of the new pricing.
  • Failure to pay fees when due may result in suspension or termination of the Service.
  • You are responsible for all applicable taxes, exclusive of taxes on our net income.

4. Customer Responsibilities — Call Recording, Consent, and Legal Compliance

This section is critical. Please read carefully.

4.1 Consent Obligations. Call recording, monitoring, and telephone marketing laws (including but not limited to state two-party/all-party consent laws, the U.S. Telephone Consumer Protection Act (TCPA), and equivalent laws in other jurisdictions) vary significantly by location and may apply based on the location of either party to a call. Customer is solely and exclusively responsible for:

  • Determining which consent and disclosure laws apply to Customer's calls, callers, and business operations;
  • Configuring the Service (including call recording announcements/beeps, opt-outs, and disclosures) to comply with those laws;
  • Obtaining any consents required from call participants before recording, monitoring, or transcribing calls;
  • Ensuring Customer's use of tracking numbers, SMS features, and outbound communications complies with applicable telemarketing, do-not-call, and anti-spam laws.

4.2 No Legal Advice. Ringmetriks provides configurable tools (such as recording disclosure announcements) to assist compliance efforts, but these tools do not guarantee compliance, and Ringmetriks does not provide legal advice. Customer should consult its own legal counsel regarding applicable requirements.

4.3 Indemnification for Non-Compliance. Customer agrees to indemnify, defend, and hold harmless Ringmetriks from any claims, damages, fines, or liabilities arising from Customer's failure to obtain required consents or otherwise comply with applicable call recording, telemarketing, or privacy laws (see Section 12).

4.4 Prohibited Uses. Customer will not use the Service to:

  • Record calls without legally required consent or disclosure;
  • Engage in robocalling, spoofing, or telemarketing in violation of applicable law;
  • Harass, defraud, stalk, or deceive any individual;
  • Transmit unlawful, defamatory, or infringing content;
  • Interfere with or disrupt the integrity of the Service or its telephony infrastructure;
  • Resell or sublicense the Service without our written consent.

5. Customer Data and Ownership

  • As between the parties, Customer retains ownership of all data it submits to or generates through the Service, including call recordings, transcripts, form submissions, and analytics data ("Customer Data").
  • Customer grants Ringmetriks a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Service.
  • Ringmetriks may use aggregated, de-identified data (not attributable to a specific Customer or individual) for analytics, benchmarking, and product improvement.
  • Customer is responsible for the accuracy, quality, and legality of Customer Data and of obtaining any rights necessary to permit its use as described here.

6. Third-Party Integrations

The Service may integrate with third-party platforms (e.g., CRMs, advertising platforms, analytics tools) at Customer's direction. Ringmetriks is not responsible for the acts, omissions, availability, or data practices of third-party services. Use of any integration is subject to the third party's own terms and policies.


7. Intellectual Property

  • Ringmetriks and its licensors retain all right, title, and interest in and to the Service, including all software, designs, trademarks, and documentation. These Terms do not grant Customer any rights to Ringmetriks' intellectual property except the limited right to use the Service as permitted herein.
  • Customer grants Ringmetriks a limited license to use Customer's name and logo to identify Customer as a user of the Service for marketing purposes, unless Customer opts out in writing.

8. Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own similar information (and no less than reasonable care), and to use such information only as necessary to perform under these Terms.


9. Term and Termination

  • These Terms remain in effect for as long as Customer maintains an active subscription.
  • Either party may terminate for the other party's material breach if the breach remains uncured 30 days after written notice.
  • Ringmetriks may suspend or terminate the Service immediately for non-payment, violation of Section 4.4 (Prohibited Uses), or conduct that poses a security or legal risk.
  • Upon termination, Customer's right to access the Service ends. Customer may request an export of Customer Data within 30 days of termination, after which Ringmetriks may delete such data in accordance with its data retention practices.

10. Service Availability; Disclaimers

  • We will use commercially reasonable efforts to maintain Service availability but do not guarantee uninterrupted or error-free operation. Scheduled maintenance and factors outside our control (e.g., carrier outages) may affect availability.
  • EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • Ringmetriks does not warrant that call attribution, tracking, or analytics will be 100% accurate, as call routing depends on third-party telephony carriers and browser/device behavior outside our control.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY; AND (B) RINGMETRIKS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO RINGMETRIKS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These limitations do not apply to: (i) Customer's indemnification obligations under Section 4.3 and Section 12; (ii) breach of confidentiality; or (iii) a party's gross negligence or willful misconduct.


12. Indemnification

Customer agrees to indemnify, defend, and hold harmless Ringmetriks, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Customer's use of the Service in violation of these Terms or applicable law; (b) Customer's failure to obtain required consents for call recording, monitoring, or telemarketing; or (c) Customer Data.

Ringmetriks agrees to indemnify Customer against third-party claims that the Service, as provided by Ringmetriks and used in accordance with these Terms, infringes a valid U.S. patent, copyright, or trademark, subject to standard exclusions (e.g., modified use, combination with non-Ringmetriks products, or continued use after notice of infringement).


13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising out of these Terms will be resolved in the courts located in Vancouver, British Columbia, and each party attorns to the exclusive jurisdiction of those courts.


14. Modifications to the Service or Terms

  • We may modify these Terms from time to time. We will provide notice of material changes (e.g., via email or an in-app notice) at least 15 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
  • We may modify, add, or discontinue features of the Service at our discretion, provided such changes do not materially reduce core functionality without notice.

15. General Provisions

  • Assignment: Customer may not assign these Terms without Ringmetriks' prior written consent, except in connection with a merger or sale of substantially all assets. Ringmetriks may assign these Terms freely.
  • Entire Agreement: These Terms, together with any order form and our Privacy Policy, constitute the entire agreement between the parties regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • No Waiver: Failure to enforce any provision is not a waiver of that provision.
  • Force Majeure: Neither party is liable for delays or failures due to causes beyond its reasonable control.
